Terms of Service

These Terms of Service set out the rules for using the Maize Drones website. They are written in plain language and cover who may use the Site, what the Site is (and is not), how member access and confidentiality work, how the informational content should be read, and the usual legal terms about liability, governing law, and how to reach us. Where the law gives you rights that cannot be signed away, nothing here takes them from you.
1. Introduction, parties, and acceptance
These Terms of Service (the “Terms”) form a binding agreement between you and Maize Drones, an agricultural-technology company based in British Columbia, Canada (“Maize Drones”, “we”, “us”, or “our”). They govern your access to and use of the website at maizedrones.com and our related sub-domains (collectively, the “Site”).
In these Terms: the “Services” means the Site and the features offered through it; “Field Notes” means our blog and the email newsletter of the same name; “Member” means a person whose application for member access we have approved; “Member Content” means the posts, metrics, figures, roadmap information, and other material made available in the members area or through a share-link; and “you” means the individual using the Site, including a recipient who opens a share-link.
By accessing or using the Site, subscribing to Field Notes, applying for or using Member access, opening a share-link, or clicking a button or checkbox indicating that you agree, you accept these Terms and our Privacy Policy, which is incorporated into these Terms by reference. If you do not agree, do not use the Site.
2. Eligibility
The Site is intended for an adult, professional audience — farmers, agronomists, investors, and industry participants. To use the Site you must be able to form a binding contract with us. To apply for or hold Member access, you must be at least the age of majority in the province, state, or territory where you live (nineteen years of age in British Columbia; eighteen in most other jurisdictions). We do not knowingly collect information from, or provide the Services to, anyone under the age of sixteen.
When you apply for Member access you represent that the information you provide is accurate and complete. Because the members area includes investor-facing information, you also acknowledge that any such information is made available to you for your own evaluation and general information only, and not as an offer or solicitation (see Section 9).
3. What the Site is — and what it is not
The Site is an informational and community platform. Through it we offer marketing content about Maize Drones, the Field Notes blog, a free double-opt-in newsletter, a gated members area (which may include members-only posts, investor metrics, and direct access to the founding team), the ability for Members to create personal share-links to specific member posts, and a link to an external farmer-beta-tester form hosted by Tally.
The Site does not sell products, take payments, or process orders online. There is no checkout, no subscription fee, and no payment of any kind required to use the Services. Any reference on the Site to drone hardware, pricing, or specifications is marketing information only and is not an offer to sell or a transactable price. Any purchase of hardware and any commercial or business relationship with Maize Drones is governed by a separate written agreement, not by these Terms. Any future Maize Drones mobile or desktop applications are outside the scope of these Terms and will have their own terms when they exist.
4. Accounts and member access
Member and administrator sign-in is passwordless: we email you a single-use, time-limited magic link, and a signed session cookie keeps you signed in. You are responsible for keeping access to your email account secure, and for all activity that occurs under your account. You must not share, sell, transfer, or otherwise make available your magic links or active sessions, and each account is for one person.
Member access is discretionary, personal, non-transferable, and revocable. Submitting an application does not guarantee acceptance. If we approve your application, your Member access is a privilege that depends on your continued compliance with these Terms; it is not an ownership, investment, employment, or contractual right to the Services. We may invalidate sessions or revoke access as described in Section 14.
Share-links are personal to the named recipient to whom they are issued, are time-limited and revocable, and may be withdrawn or expire at any time. If you create a share-link, you are responsible for choosing an appropriate recipient. If you receive a share-link, you may use it only to view the content shared with you, and you must not forward it, post it publicly, or attempt to extend its access. Member Content accessed through a share-link remains subject to the confidentiality obligations in Section 6.
5. Acceptable use
You agree to use the Site lawfully and responsibly. You may not:
- use the Site in a way that violates any applicable law or regulation, or that facilitates illegal activity;
- interfere with, disrupt, or attempt to gain unauthorised access to the Site, the underlying servers, the members area, or any account or system accessed through the Site;
- attempt to defeat or circumvent any security control, including Cloudflare Turnstile bot challenges, rate-limits, CSRF protections, or session authentication;
- scrape, harvest, crawl, or systematically extract content from the Site except as expressly permitted by our robots.txt file;
- use the contact, newsletter, or application forms to send unsolicited or bulk communications, to harass others, or to probe, enumerate, or test email addresses or accounts;
- reverse-engineer, decompile, or attempt to derive source code from any non-open-source component of the Site;
- impersonate Maize Drones, a Maize Drones team member, or any other person or entity, or misrepresent your affiliation;
- share, sell, transfer, or otherwise misuse a magic link or a share-link issued to you or to anyone else; or
- copy, redistribute, or publicly disclose Member Content except as permitted by Section 6.
Well-behaved web crawlers that honour our robots.txt file may index public pages for search purposes. Outside the members area, you may read public pages and share links to them for personal, non-commercial purposes.
6. Member and investor confidentiality
Member Content — and in particular any investor metrics, financial figures, roadmap, performance data, or other non-public information made available in the members area or through a share-link — is the confidential commercial information of Maize Drones. It is provided to Members and share-link recipients for their own evaluation only.
Unless we have given you prior written consent, you must not copy, screenshot and redistribute, publish, forward, post, or otherwise disclose Member Content to any third party, and you must not use it for any purpose other than your own evaluation. If you open a share-link, you are bound by these confidentiality obligations by accessing the content shared with you.
These confidentiality obligations continue to apply after your Member access ends or a share-link expires.
7. Intellectual property and your submissions
All content on the Site — including the Maize Drones wordmark and logo, the site design and layout, the Field Notes articles, members-only posts, images, illustrations, and source code that is not separately marked as open-source — is owned by Maize Drones or its licensors and is protected by Canadian and international copyright, trademark, and other intellectual-property laws. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and view that content for the permitted uses described in these Terms. No other rights are granted. You may not reproduce, adapt, republish, broadcast, scrape, or commercially exploit any of the content without our prior written consent. Any open-source components are governed by their own licences.
The only content you submit through the Site is your member-application details, your email address, and any feedback you choose to send us. You represent that this information is accurate and that you have the right to share it. You grant Maize Drones a non-exclusive, royalty-free licence to use that information to evaluate your application, to respond to you, and to operate and improve the Services. We will not publish your name or application content without your prior consent. The Site has no public posting, comment, or upload feature for users. If you believe content on the Site infringes your copyright, email us at hello@maizedrones.com with the subject line “Copyright” and details of the material.
8. Informational content — no professional advice
Field Notes articles and members-only posts reflect the authors’ opinions at the time of writing and are provided for general information only. They are not, and must not be relied on as, any of the following:
- professional agronomic or crop advice;
- aviation or drone-regulatory advice — operators remain solely responsible for complying with the Transport Canada Remotely Piloted Aircraft System (RPAS) rules under the Canadian Aviation Regulations, the U.S. Federal Aviation Administration rules (including Part 107 and, where applicable, the Part 137 agricultural-aircraft rules), and all other applicable local laws; or
- legal, financial, tax, accounting, or investment advice.
We do not promise any particular outcome — including any yield, cost saving, return, price, or metric described on the Site. Results vary with circumstances. Before acting on anything you read on the Site, obtain your own professional and regulatory advice suited to your situation.
9. Investor information and forward-looking statements
Any investor-facing information on the Site, including any “investor metrics,” is provided for general information only. It is not an offer to sell, or the solicitation of an offer to buy, any security or other investment in any jurisdiction, and it must not be treated as the basis for any investment decision. Any securities offering by Maize Drones would be made only through definitive offering documents and only to eligible investors, in compliance with applicable Canadian securities laws (including the prospectus exemptions under National Instrument 45-106) and United States securities laws (including Regulation D under the Securities Act of 1933).
Investor metrics and similar information are presented as at a particular point in time, may be unaudited estimates, and may change without notice. Some information on the Site is forward-looking — for example projections, targets, roadmaps, and statements about future plans or performance. Forward-looking information involves risks and uncertainties, and actual results may differ materially. We are under no obligation to update any forward-looking or point-in-time information.
Receiving Member access or viewing investor information does not create any investor, advisory, fiduciary, partnership, agency, or joint-venture relationship between you and Maize Drones.
10. Third-party services, links, and embeds
The Site relies on Cloudflare for its infrastructure (CDN, Workers, the D1 database, KV, R2, and Turnstile), on Resend for email delivery, and on Tally for the external farmer-beta-tester form linked from the “Follow the project” page. The Site also links to and embeds third-party content, including YouTube videos and social-media profiles. These third parties have their own terms and privacy policies, which we do not control, and we are not responsible for their content, practices, or availability. When you submit information through the Tally form, that information is collected by Tally and handled under Tally’s terms and privacy policy, not by this Site. Your use of any third-party service is at your own risk.
11. Disclaimer of warranties
THE SITE AND ITS CONTENT ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OR CONDITIONS OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, OR UNINTERRUPTED OR SECURE AVAILABILITY. While we work to keep the Site secure and operational, we do not warrant that it will be free of bugs, errors, security vulnerabilities, or interruptions, or that any information on the Site is current or correct at any given moment.
Nothing in these Terms excludes or limits any warranty, condition, guarantee, or right that cannot be excluded or limited under applicable law, including any non-waivable consumer right under the British Columbia Business Practices and Consumer Protection Act. To the extent an implied warranty or condition cannot lawfully be excluded, it is limited in scope and duration to the minimum permitted by law.
12. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MAIZE DRONES AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES — INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION — ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY. OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SITE WILL NOT EXCEED THE GREATER OF ONE HUNDRED CANADIAN DOLLARS (CAD $100) OR THE AMOUNT YOU PAID US FOR THE SERVICES IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE LIABILITY (WHICH, FOR THIS FREE SITE, IS TYPICALLY NIL).
Nothing in these Terms excludes or limits our liability for: (a) death or personal injury caused by our negligence; (b) fraud or fraudulent misrepresentation; or (c) any other liability that cannot be excluded or limited under applicable law, including non-waivable consumer rights under the British Columbia Business Practices and Consumer Protection Act. The cap and exclusions above are subject to these carve-outs.
13. Indemnification
You agree to indemnify and hold harmless Maize Drones and its officers, directors, employees, and agents from any third-party claim, demand, loss, or expense (including reasonable legal fees) arising out of: (a) your breach of these Terms; (b) your misuse of the Site or of Member Content; or (c) your violation of any applicable law or the rights of a third party. We may, at our option and expense, assume the exclusive defence and control of any matter otherwise subject to indemnification by you, in which case you agree to cooperate with our defence of that claim. This section does not require you to indemnify us for our own negligence, fraud, or wilful misconduct, or for any liability that cannot be shifted to you under applicable law.
14. Term, suspension, and termination
These Terms apply for as long as you use the Site. We may suspend or terminate your access to the Site, the Field Notes newsletter, or the members area if we reasonably believe you have breached these Terms or applicable law, or if your continued access poses a risk to the Site or to others. For Members, we will give reasonable notice except where immediate action is needed to protect the Site or other users; misuse of a share-link may result in its revocation without notice. You may stop using the Site at any time, and you may unsubscribe from Field Notes at any time using the one-click link in any Field Notes email, which we honour immediately.
The sections that by their nature should continue to apply after termination will survive, including: Intellectual property and your submissions; Member and investor confidentiality; Informational content — no professional advice; Investor information and forward-looking statements; Disclaimer of warranties; Limitation of liability; Indemnification; Governing law and dispute resolution; and General terms.
15. Governing law and dispute resolution
These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada that apply there, without regard to conflict-of-law principles.
If a dispute arises, you and Maize Drones agree to first try to resolve it informally by emailing hello@maizedrones.com before starting any formal proceeding. Subject to any non-waivable right you have as a consumer to bring or defend proceedings in the courts of the place where you live, you and Maize Drones submit to the courts of British Columbia for any dispute arising out of or relating to these Terms or the Site.
We do not impose any mandatory arbitration or any class-action waiver on consumers, and nothing in these Terms limits any right a consumer has under the British Columbia Business Practices and Consumer Protection Act, including as amended in 2025.
16. Changes to these Terms
We may update these Terms from time to time. When we do, we will update the “Last updated” date at the top of this page. For material changes, we will notify registered Members and subscribers by email at least 14 days before the changes take effect, and where a material change affects Member rights we may ask you to accept the updated Terms again the next time you sign in. Continued use of the Site after the effective date of a change means you accept the updated Terms.
17. General terms
- Severability. If any provision of these Terms is found to be invalid or unenforceable, that provision is severed or read down to the minimum extent necessary, and the remaining provisions stay in full force.
- No waiver. Our failure to enforce any provision is not a waiver of our right to enforce it later.
- Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and Maize Drones about your use of the Site, and replace any earlier understanding about that subject.
- Assignment. You may not assign or transfer your rights under these Terms. We may assign these Terms in connection with a merger, acquisition, reorganisation, or sale of assets.
- Force majeure. We are not liable for any delay or failure to perform caused by events beyond our reasonable control, including outages of third-party infrastructure, network failures, or acts of nature.
- Notices. You may send us notices at hello@maizedrones.com. We may give you notices by email or by posting them on the Site.
- Relationship of the parties. Nothing in these Terms creates any agency, partnership, joint venture, or employment relationship between you and Maize Drones.
- Headings and language. Section headings are for convenience only and do not affect interpretation. The English version of these Terms is the controlling version.
18. Privacy and email communications
We handle personal information in accordance with our Privacy Policy. Newsletter sign-ups use a double-opt-in process and every Field Notes email includes a one-click unsubscribe link. Our commercial email is governed by Canada’s Anti-Spam Legislation (CASL), the U.S. CAN-SPAM Act, and the Privacy Policy. Please refer to the Privacy Policy for full details of what we collect and how we use it; we do not repeat those details here.
19. Accessibility and security reporting
We are committed to keeping the Site accessible; see our Accessibility statement for our current status and how to report a barrier. If you discover a security vulnerability, please email hello@maizedrones.com with the subject line “Security disclosure” rather than disclosing it publicly, and we will respond promptly.
